Studio Rental Agreement & Terms and Conditions

This Studio Rental Agreement (“Agreement”) is entered into by and between Pixel Count LLC (“Studio”) and the undersigned individual or entity (“Renter”). By booking, accessing, or using the Studio, Renter agrees to be bound by the following terms and conditions.

1. Rental Terms & Use of Space

1.1 Access & Duration
Renter is granted access to the Studio solely for the date(s) and time(s) agreed upon at booking. Access outside the scheduled rental period is not permitted unless approved in advance.

1.2 Overtime
If availability permits, same-day extensions may be added at a rate of $110 per hour, billed in full-hour increments.

1.3 Permitted Use
The Studio may be used for photography, video production, and other creative projects only. Any other use requires prior written approval from the Studio.

1.4 Prohibited Materials & Activities
Unless expressly approved in writing by the Studio, the following are prohibited:

  • Glitter, confetti, fake snow, powders, or fine particulates

  • Smoke, fog, haze, pyrotechnics, or open flames

  • Hazardous materials, chemicals, or substances

  • Any activity that may cause permanent damage to walls, floors, cyc walls, ceilings, rigging, or equipment

Illegal activities are strictly prohibited under all circumstances.

1.5 Occupancy Limits
Renter must adhere to posted or communicated occupancy limits. Exceeding limits may result in immediate termination without refund.

2. Content Restrictions & Creative Use

2.1 Permitted Content
The Studio allows a wide range of creative content, including but not limited to:

  • Commercial and editorial work

  • Artistic, fashion, and lifestyle shoots

  • Music, automotive, and performance-related content

  • Mature or adult-themed content

2.2 Prohibited Content
The following content is not permitted:

  • Content involving minors in sexualized, exploitative, or inappropriate contexts

  • Non-consensual acts, harassment, or abuse

  • Hate speech, extremist propaganda, or incitement to violence

  • Illegal activities or content intended to facilitate illegal acts

2.3 Weapons & Simulated Violence
Prop or replica weapons are often permitted with notice to the Studio. Functional firearms, live ammunition, or explosives are not allowed unless explicitly authorized and legally compliant.

2.4 Studio Discretion
The Studio reserves the right to refuse or terminate a rental if content being produced poses legal, safety, reputational, or property risks.

3. Assumption of Risk & Liability Waiver

3.1 Assumption of Risk
Renter assumes all responsibility for their own safety and the safety of all guests, crew, contractors, and invitees while on the premises.

3.2 Release of Liability
To the fullest extent permitted under Utah law, the Studio, its owners, employees, contractors, and affiliates shall not be held liable for injuries, accidents, theft, loss, or damage to persons or property occurring within or around the Studio.

3.3 Indemnification
Renter agrees to indemnify, defend, and hold harmless the Studio from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from Renter’s use of the space.

4. Equipment, Damages & Cleanliness

4.1 Responsibility for Damage
Renter is fully responsible for any damage to the Studio, equipment, furniture, walls, floors, cyclorama (“cyc”) walls, lighting, props, or fixtures caused during the rental period.

4.2 Condition of Space
The Studio must be left in the same condition as it was upon arrival, including trash removal and returning items to their original locations.

4.3 Additional Fees
Excessive cleaning, repairs, repainting, or downtime caused by damage will be billed to the Renter.

5. Security Deposit

5.1 Deposit Requirement
The Studio may require a refundable security deposit prior to the rental. The amount will be communicated at booking or prior to access.

5.2 Use of Deposit
The deposit may be applied to cover damages, excessive cleaning, missing equipment, overtime, or violations of this Agreement.

5.3 Refund Timeline
Any remaining balance of the security deposit will be refunded within 14 days following the rental, consistent with Utah contract and consumer protection practices.

5.4 Additional Charges
If damages exceed the deposit amount, Renter remains responsible for the full cost of repair or replacement.

6. Noise, Sound & Video Production

6.1 Noise Levels
Renter agrees to comply with all applicable local noise ordinances and building rules.

6.2 Sound Disclaimer
While video and audio recording is permitted, the Studio does not guarantee soundproofing or uninterrupted quiet.

7. Cancellations, Rescheduling & Refunds

7.1 Cancellations
Cancellations made within 5 days of the scheduled rental date are non-refundable.

7.2 Rescheduling
Rescheduling may be allowed based on availability and is subject to a $50 rescheduling fee.

7.3 No-Shows
Failure to appear does not entitle Renter to a refund or credit.

8. Payments & Fees

8.1 Payment Terms
All rental fees must be paid in full prior to the rental period unless otherwise agreed in writing.

8.2 Additional Charges
The Studio may charge for overtime, damages, lost equipment, excessive cleaning, or rule violations.

9. Conduct & Right to Refuse Service

9.1 Behavior
Unsafe, disruptive, abusive, or illegal behavior may result in immediate termination of the rental without refund.

9.2 Unauthorized Use
Only individuals listed on the rental agreement may use the space. Subleasing is prohibited.

10. Intellectual Property & Branding

10.1 Studio Property
All Studio branding, sets, installations, and fixtures remain the sole property of the Studio.

10.2 Use of Studio Name
Renter may not imply endorsement or partnership without written consent.

11. Changes & Availability

The Studio reserves the right to modify policies, pricing, or availability at any time. Confirmed bookings will be honored under the agreed terms.

12. No Warranties

The Studio is provided “as is” without warranties of any kind. Renter assumes full responsibility for project outcomes.

13. Governing Law & Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, with venue lying in the appropriate Utah court.

14. Severability

If any provision of this Agreement is held to be invalid, such provision shall be interpreted so as to best accomplish the intent of the parties within the limits of applicable law, and all remaining provisions shall continue to be valid and enforceable.

14. Agreement Acknowledgment

By booking or using the Studio, Renter acknowledges that they have read, understood, and agreed to this Agreement.
